Terms and Conditions

ALL USED VEHICLES SOLD “AS IS” WITH NO WARRANTY EXPRESSED OR IMPLIED. 

DOT Compliance Terms (If Applicable)

1. The buyer agrees that all vehicles and/or trailers sold under this agreement are conditionally compliant with DOT regulations based on the following:
   1. Any known DOT compliance issues or required repairs have been disclosed in writing by the Seller.
   2. The Buyer assumes responsibility for ensuring that each vehicle or trailer meets all applicable DOT regulations before placing them into operation.
2. The Seller makes no warranties regarding current or future DOT compliance unless expressly stated in writing.
3. Any DOT inspections, certifications, or repairs required after the sale are the sole responsibility of the Buyer.
4. Conditional Sales Terms:
   1. If any vehicle or trailer is found to be non-compliant due to issues undisclosed by the Seller, the Buyer must notify the Seller in writing within 10 business days of receipt.
   2. The Seller will have the option to:
   3. Refund the purchase price for the affected vehicle or trailer.
   4. Negotiate a solution to address the non-compliance.
   5. Beyond this time frame, the sale is considered final.

General Terms of Sale:

1. AS-IS Condition:
   1. All trucks and trailers are sold AS-IS, WHERE IS, with no guarantees, warranties or representations, either expressed or implied, except for those expressly stated in this agreement.
2. Indemnification:
   1. The Buyer agrees to indemnify, defend and hold harmless the Seller from any and all claims, liabilities, losses, damages, or expenses (including legal fees) arising from the Buyer’s use, ownership, or resale of the vehicles and/or trailers.
3. Clear Title Guarantee:
   1. The Seller represents that all vehicles and trailers sold under this Agreement are free of liens, encumbrances, or other claims unless otherwise disclosed in writing.
4. Jurisdiction and Governing Law:
   1. This Agreement shall be governed by and construed under the laws of the State of Missouri. Any disputes arising under this Agreement shall be resolved exclusively in the courts located in Clay County, Missouri.
5. Entire Agreement:
   1. This document constitutes the entire agreement between the parties. No amendments or modifications shall be valid unless made in writing and signed by both parties.
6. Severability:
   1. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. 
7. Buyer’s Acknowledgment:
   1. The Buyer acknowledges that they have inspected the vehicles and trailers or waived the right to do so and accepts them in their current condition.
